1. About These Terms
These Terms of Service (“Terms”) govern access to and use of the YesOpens platform and website at yesopens.com (the “Service”), provided by Localesto Sp. z o.o., with its registered office in Warsaw (ul. Szczęsna 26, 02-454 Warszawa, Poland), entered in the Register of Entrepreneurs of the National Court Register (KRS) under number 0001200212, NIP: 5223350892, REGON: 543003699, share capital PLN 5,000.00, represented by its Management Board (“Localesto,” “we,” “us,” or “our”). By creating an account or otherwise using the Service, you (“User,” “you”) agree to these Terms. If you do not agree, do not use the Service.
2. The Service
YesOpens is a software-as-a-service platform for local search engine optimization (“local SEO”), providing tools that may include, among others: Google Business Profile rank tracking, profile audits, review monitoring and response management, content/post scheduling, citation management, reporting, and related analytics (the “Service”). Certain features require you to connect a Google Business Profile or other third-party account, granting YesOpens limited, revocable access via OAuth to perform the requested functions.
3. Eligibility and Registration
You must be at least 18 years old and have the authority to bind the business or organization on whose behalf you use the Service. You agree to provide accurate registration information and to keep your account credentials confidential. You are responsible for all activity under your account.
4. Third-Party and Google Integrations
YesOpens is an independent service and is not affiliated with, endorsed by, or sponsored by Google LLC or any other third-party platform referenced in the Service. Your use of any connected third-party account (e.g., Google Business Profile) remains subject to that provider's own terms of service and privacy policy. You may revoke YesOpens's access to your Google account at any time via your Google Account permissions settings. We are not responsible for changes third parties make to their platforms or APIs that affect the Service's functionality.
5. Subscription, Fees, and Billing
- Plans: the Service is offered under the subscription plans described at yesopens.com/pricing, or as otherwise agreed in writing.
- Free trial: if offered, a free trial converts into a paid subscription at the end of the trial period unless cancelled beforehand.
- Billing: fees are billed in advance on a recurring basis (monthly or annually, as selected) and processed via our third-party payment processor. Fees are exclusive of applicable taxes unless stated otherwise.
- Auto-renewal: subscriptions renew automatically at the end of each billing period unless cancelled prior to renewal.
- Cancellation and refunds: you may cancel at any time, effective at the end of the current billing period. Except as required by law or expressly stated at the point of purchase, fees already paid are non-refundable.
- Changes to fees: we may change our fees with at least 30 days' notice; continued use after the change takes effect constitutes acceptance.
6. Consumer Withdrawal Right (EU Consumers)
If you are a consumer within the European Union, you generally have the right to withdraw from a distance contract within 14 days without giving a reason. By requesting that the Service begin before the end of this period, you acknowledge that you may lose this withdrawal right once the Service has been fully performed with your prior express consent and acknowledgment.
7. Acceptable Use
You agree not to:
- use the Service for any unlawful purpose or in violation of any third party's rights, including Google's own terms of service;
- attempt to reverse-engineer, scrape, or resell the Service without authorization;
- upload malicious code or interfere with the Service's operation;
- misrepresent your identity or authority over any connected business listing;
- use the Service to post false, misleading, or manipulated reviews or content.
8. Your Content and Data
You retain ownership of the business data and content you submit to or connect through the Service (“Customer Data”). You grant YesOpens a limited, non-exclusive license to access, process, and display Customer Data solely to provide and improve the Service. You represent that you have all rights and authorizations necessary — including from Google and any relevant business owners — to connect such data to the Service.
9. Intellectual Property
The Service, including its software, design, trademarks (including “YesOpens”), and content, is owned by Localesto Sp. z o.o. or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service as permitted by these Terms, no rights are granted to you.
10. Disclaimers
The Service is provided “as is” and “as available.” We do not guarantee specific search ranking positions, review outcomes, or business results, as these depend on factors outside our control, including third-party algorithms such as Google's ranking algorithm. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Localesto Sp. z o.o. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or relating to your use of the Service. Our total aggregate liability for any claim arising from these Terms or the Service shall not exceed the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded under mandatory Polish or EU consumer protection law.
12. Indemnification
You agree to indemnify and hold harmless Localesto Sp. z o.o. from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Service, or violation of any third party's rights.
13. Term and Termination
These Terms remain in effect while you use the Service. We may suspend or terminate your access if you breach these Terms, engage in fraudulent or unlawful activity, or fail to pay fees when due. You may terminate by cancelling your subscription and ceasing use of the Service. Upon termination, your right to access the Service ends; provisions that by their nature should survive — including payment obligations, intellectual property, and limitation of liability — will survive termination.
14. Changes to the Service and These Terms
We may modify the Service or these Terms from time to time. Updated Terms will be posted on this page with a revised “last updated” date, and for material changes we will provide reasonable advance notice (e.g., by e-mail or in-app notice). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Poland, without regard to conflict-of-law principles, and without prejudice to any mandatory consumer-protection provisions of your country of residence if you are an EU consumer. Any dispute shall be submitted to the competent court having jurisdiction over the registered office of Localesto Sp. z o.o., unless mandatory law provides otherwise for consumers.
16. Force Majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control.
17. Miscellaneous
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Localesto Sp. z o.o. regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent.
